Who needs an audit in Dubai?

This is a really important question for UK businesses looking to set up in the UAE. The answer depends on your jurisdiction:

  • Free Zone Companies – Requirements vary by zone. Major free zones including DMCC, JAFZA, FAFZA and DIFC require businesses to submit audited financial statements on an annual basis. This must be done even if the company had minimal or no business activity during the year.
  • Qualifying Free Zone Persons – Businesses classified as Qualifying Free Zone Persons must stick to audit requirements as a condition to access the 0% corporate tax rate, as per Ministerial Decision No. 84 of 2025.
  • Mainland Companies – Under Commercial Companies Federal Law No.32 of 2021, every company who operates in mainland UAE is advised to conduct their financial accounts audited annually.
